Commitment to the UK Financial reporting Council’s Stewardship Code
Under Rule 2.2.3R of the FCA Conduct of Business Sourcebook, HFM UK is required to make a public disclosure about the nature of its commitment to the UK Financial reporting Council’s Stewardship Code (the “Code”) or, where it does not commit to the Code, its alternative investment strategy.  The code is a voluntary code and sets out a number of principles relating to the engagement by investors with UK-listed equity issuers.  
HFM UK offers infrastructure investment management to institutional investors whether via private mandates or through managed funds.   Due to the nature of the assets in which it specialises, being infrastructure assets, HFM UK does not cause investments by its investors in listed equities of UK issuers.   
As an active manager of infrastructure assets, seeking to acquire controlling interests, HFM UK’s engagement with investee companies is commensurate and its approach is generally aligned with the broad aims pursued by the Code.    
However, as an investment manager and an active manager of infrastructure assets, HFM UK principally invests in privately held equity, contractual loans and other debt instruments and therefore the Code is not relevant to HFM UK’s investment activities.  
Pillar 3 disclosures
The Rule BIPRU 11.3.1R of the FCA Conduct of Business Sourcebook requires firms to publicly disclose information required under Pillar 3.
